QUESTION:
Our board of directors for our homeowners' association often does not have a quorum present at board meetings since some members work or are frequently out of town. What can be done by a board in the absence of a quorum? If a quorum is initially established but some directors have to leave the meeting early, does the quorum still stand?

ANSWER:
Very little can be done at a meeting at which a quorum has not been attained. Basically, the board can only set the date, time and place for another meeting at which, hopefully, a quorum of directors will be achieved. Any substantive action taken in the absence of a quorum is invalid. Even if a meeting begins with a quorum present, once that quorum is destroyed by members leaving the meeting, the board loses its right to continue to conduct substantive business until other directors rejoin the meeting and the quorum is once again established.
